1. Services

Stratal ("we," "us," "our") provides website design, development, and ongoing maintenance services for home service businesses and other clients. These Terms of Service ("Terms") govern your use of our website and any services you purchase from us. By engaging our services or using our website, you agree to these Terms.

2. Website Design & Development

Upon agreement to a project scope and receipt of the initial payment, we will design and develop your website according to the agreed-upon specifications. Our standard delivery timeline is 2–3 business days after we receive all required assets (logos, content, images, brand guidelines).

You are responsible for providing all necessary content and assets in a timely manner. Delays in providing materials may extend the delivery timeline. We reserve the right to use stock photography or placeholder content if assets are not provided within the agreed timeframe.

3. Maintenance & Monthly Services

Monthly service plans include hosting, security updates, performance monitoring, and support as described in your selected package. Monthly fees are billed on the same date each month beginning after your site launches.

We will make reasonable efforts to maintain 99.9% uptime for your website. Scheduled maintenance windows will be communicated in advance when possible. We are not responsible for downtime caused by third-party services, hosting infrastructure outages, or circumstances beyond our reasonable control.

4. Payment Terms

Setup fees are due in full before work begins unless otherwise agreed in writing. Monthly service fees are due on the billing date and will be charged to the payment method on file. All fees are in U.S. dollars.

If a payment fails, we will attempt to notify you and retry the charge. If payment remains outstanding for more than 14 days, we reserve the right to suspend services until the balance is resolved. Refunds for setup fees are available within 7 days of payment if no work has begun; once design work has started, setup fees are non-refundable.

5. Intellectual Property

Your Content: You retain full ownership of all content you provide, including text, images, logos, and branding materials. You grant us a limited license to use this content solely for the purpose of delivering our services.

Our Code & Framework: We retain ownership of our proprietary code, development frameworks, tools, and methodologies used to build your website. Upon full payment, you receive a perpetual, non-exclusive license to use the completed website. This license does not include the right to resell, redistribute, or sublicense our underlying code or framework.

Portfolio Rights: Unless you request otherwise in writing, we may feature your completed website in our portfolio and marketing materials.

6. AI Chatbot Disclaimer

Our website features an AI-powered chatbot that uses artificial intelligence to assist visitors with general inquiries about our services. Chatbot responses are generated by a third-party AI service and may not always be perfectly accurate or up to date. The chatbot does not provide legal, financial, medical, or other professional advice. Any information provided by the chatbot is for general informational purposes only and should not be relied upon as a substitute for professional consultation. We are not liable for any decisions made based on chatbot responses.

7. Limitation of Liability

To the maximum extent permitted by law, Stratal shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to our services.

Our total liability for any claim related to our services shall not exceed the amount you paid to us in the 12 months preceding the claim. We do not guarantee specific business results, lead volumes, search engine rankings, or revenue increases from our services.

8. Cancellation Policy

You may cancel monthly services at any time by providing 30 days' written notice. Upon cancellation, your service will continue through the end of the current billing period. No refunds are issued for partial months.

Upon cancellation, we will provide you with a copy of your website files and assist with a reasonable transition period (up to 7 days). After the transition period, we are not responsible for hosting, maintenance, or support of your website. Domain names registered in your name remain your property.

9. Acceptable Use

You agree not to use our services or any website we build for illegal activities, to distribute malware or harmful code, to infringe on third-party intellectual property, to send spam or unsolicited communications, or to engage in any activity that could damage our reputation or infrastructure. We reserve the right to suspend or terminate services if we believe these terms are being violated.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Maricopa County, Arizona.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of our services after changes are posted constitutes acceptance of the revised Terms.
